My response is based on the premise that you're asking about the engine cover on the 2nd Gen Innova. So yes, my answer stands. That engine cover generally serves to hide the nitty-gritty (read: ugly) parts of the engine.... mostly for cosmetic purposes.
It's also for marketing. It's a chance for manufacturers to plaster their brand logo or engine technology inside the engine bay.
But in all seriousness, the cover may also serve in varying degrees of "real" purpose, depending on the specific vehicle. Some are designed to protect the more intricate parts of the engine... like sensors, wire harnessing, etc. from being inadvertently touched by a non-technician or as protection from water intrusion. Others serve a more obvious purpose, like incorporating the whole intake ducting with the cover.
On the older Diesel Innova, the cover doesn't really cover anything of value or parts that you might call fragile. It's just for Toyota to put on their logo and "D4D" and make it more presentable.

If you're hell bent on reducing NVH on your Innova, spend a bunch on deadening materials. Cover the firewall, the floors, doors, roof, and whatnot.
That engine cover (again, specifically on the 2.8 Innova) won't make much of a difference as far as engine noise is concerned.

Necessary? No.
Does it provide certain benefits? Yes.
If you have stock wheels and tires, you won't miss much without mud flaps. But if you're using wider tires or they're protruding/extended beyond the body or your vehicle is lifted, mud flaps can prevent dirt from being flung to other vehicles.
