    it's weird that xerox (a smaller company) wants to buy HP (a much bigger company)

    xerox is already willing to pay a premium ($22/share which is above HP's current share price)

    -

    HP's business is in decline (selling printers and ink)

    Xerox's future ain't bright either as the world goes paperless

    -

    Xerox sounds like they're in a hurry

    HP doesn't want Xerox to conduct due diligence on them

    there are things both companies aren't telling the public
