With your spec. it is difficult to upgrade bec. shops here in the Philippines phase out parts so quickly that you cant even find anything compatible to buy. For example, it is very difficult to find socket 478 mb (puro LGA 775 na ngayon) , DDR ram ( puro DDR2 na ngayon) , etc.
Honestly, your only resort is to buy an all new system and simply reuse your hard drives, optical drive, and casing (if its a good one).
Or actually you can just upgrade using the following components. You will have to reuse your ram, agp video card, and the rest. All you need to throw out or sell are your processor and motherboard.
Processor: Celeron D 352 (3.2 Ghz) - Php 3,380
Motherboard: Asus P5PE-VM ( Intel 865) - Php 2,900
Total upgrade costs is Php 6,280 +/-
Of course this upgrades also assumes that you will be using your system for normal internet, office, etc....2D applications. If its for gaming, go ahead and buy a new processor, motherboard, ram, pci-express video card, power supply, etc.
The Celeron D is quite competent and it is faster than your old processor. About the same speed as mainstream Pentium4 three years ago. If you dont want Celeron D you can omit it and try finding single core 65nm Pentium4 like the 631, 641, etc. It costs at the most at Php 1,500 over the Celeron D's current price. Hurry before they disappear. Dual core Pentium4 are out of the question bec. they are expensive and if you buy then you might as well as get the Core Duo then.
The motherboard I recommended is compatible with the Core Duo processors so you can also upgrade to that in the future when its price drops in the Php 5,000 or 6,000 price range a pop (if ever that will happen).

Hmm, for the Celeron D, i'd recommend you get FoxConn 945/955 instead, Core Duo / Core2 Duo compatible na. yung may built in Video/Audio/GigaLan is only 4k++ last time i built one for my cousin.
